Amazon.com, Inc. has announced plans to redeem all of its outstanding 5.200% Notes due December 3, 2025, as well as those issued by Whole Foods Market, Inc., a wholly owned subsidiary. The redemption will take place on September 5, 2025.

The company stated that it will redeem $871,747,000 in aggregate principal amount of its own notes and $128,098,000 in aggregate principal amount of Whole Foods Market notes. This brings the total amount being redeemed to $1 billion.

According to Amazon, “The Notes will be redeemed on the Redemption Date at a redemption price equal to the sum of 100% of the aggregate principal amount of the Notes being redeemed plus accrued and unpaid interest thereon to, but not including, the Redemption Date. On and after the Redemption Date, interest will cease to accrue on the Notes and the Notes will cease to be outstanding.”

Amazon describes itself as guided by four principles: customer obsession rather than competitor focus, passion for invention, commitment to operational excellence, and long-term thinking. The company states that it aims to be “Earth’s Most Customer-Centric Company,” “Earth’s Best Employer,” and “Earth’s Safest Place to Work.” More information about Amazon is available at amazon.com/about.

The announcement also includes cautionary language regarding forward-looking statements. The company noted: “This press release includes forward-looking statements within the meaning of the Private Securities Litigation Reform Act of 1995. All statements other than statements of historical fact, including statements regarding the redemption of the Notes made in this press release, are forward-looking. We use words such as will and similar expressions to identify forward-looking statements. Forward-looking statements reflect management’s current expectations and are inherently uncertain. Actual results and outcomes could differ materially for a variety of reasons... These risks and uncertainties...are described in greater detail in Amazon’s filings with the Securities and Exchange Commission (“SEC”), including our most recent Annual Report on Form 10-K and subsequent filings.”

The company advises consulting its reports filed with the SEC for more detailed risk disclosures.
